Sell-Side Representation

We first assist seller in defining their family and financial goals and formulating their personal exit plans. We then assess how ready the business is for sale, prepare a preliminary business valuation, and identify a targeted business transaction structure that accomplishes identified family goals. We prepare offering materials, profile and qualify buyers, and then help with negotiations through the closing process.


Buy-Side Representation

We first work with clients to determine how acquisition will fit with their strategic growth strategy and mission statement, develop an ideal profile of acquisition target and develop pro-forma of post acquisition company – management structure and financial structure, and identify the leadership and management competiveness necessary to achieve purchase synergies. We help identify specific acquisition targets and prepare business valuations to help guide negotiations, help with negotiation of transaction price, terms, and structure, help with due diligence and coordinate with legal and tax counsel throughout the closing process. We also if required, help arrange acquisition capitalization.


Merger Integration

  • Pre-merger consulting
    Merger integration begins with pre-merger activities to identify how the merger will create value, to identify matching cultures, a critical analysis of barriers to integration success, and a communication strategy.
  • Post-merger consulting
    Merger integration post acquisition begins with development and implementation of the plan to orient the acquired company employees to your organization’s structure and culture. It continues with implementation of a 90-day plan on critical milestones followed by integration which focuses on capitalizing on the strategic reasons for the merger.
